These Terms govern your use of Rekpal (the "Service"), provided by PBA Labs Inc., an Ontario corporation ("Rekpal," "we," "us"). By signing up, signing an order form, or using the Service, you ("Customer," "you") agree to these Terms. If you accept on behalf of a company, you confirm you have authority to bind it. If a signed agreement with us conflicts with these Terms, the signed agreement wins.
Rekpal is an AI co-pilot for recruiting teams. It reads interview scorecards, ATS data and other hiring materials you connect, and organizes that evidence for your hiring panel. You must keep your login details secure and are responsible for activity under your account. You agree not to:
You own your data. This includes candidate information, scorecards and ATS records ("Customer Data"). We use it only to provide and support the Service for you.
Privacy. We handle personal information as described in our Privacy Policy and, where signed, our Data Processing Agreement. We use named sub-processors, listed in our Sub-processor Disclosure, including Anthropic (Claude API) and Supabase.
No model training. We do not use your Customer Data to train AI models.
The panel decides. Rekpal surfaces evidence and observed alignment or gaps. AI output can be incomplete or wrong. Your team is responsible for reviewing it and for all hiring decisions.
Fees. You agree to pay the fees in your order form or pilot agreement. Fees are in USD unless stated, exclude taxes, and are non-refundable unless your agreement says otherwise. We may suspend access for invoices more than 30 days overdue, after notice.
Our IP. Rekpal owns the Service, its software and any improvements. Feedback you share may be used freely to improve the Service.
Confidentiality. Each party will protect the other's non-public information with reasonable care and use it only for this relationship.
Disclaimer. The Service is provided "as is" and "as available." To the extent allowed by law, we disclaim all implied warranties, including fitness for a particular purpose.
Limitation of liability. Neither party is liable for indirect, incidental or consequential damages, or lost profits. Each party's total liability is capped at the fees you paid us in the 12 months before the claim. These limits do not apply to your payment obligations or to either party's breach of confidentiality.
Term and termination. These Terms apply while you use the Service. Either party may end them for a material breach not fixed within 30 days of written notice. On request after termination, we will delete your Customer Data within 30 days.
Governing law. These Terms are governed by the laws of Ontario and the federal laws of Canada that apply there. Courts in Toronto, Ontario have exclusive jurisdiction.
Changes. We may update these Terms. We will post the new version here and give 30 days' notice of material changes. Continued use means you accept them.
